Definitions

BLF Trade : whose domain name is www.eblftrade.com, (hereafter called the"Website"): a package including content and services offered by LA BANQUE LIBANO-FRANCAISE and Export entreprises SA company, of 154 boulevard Haussmann F-75008 - Paris, France.

Export entreprises SA : designates partner company LA BANQUE LIBANO-FRANCAISE, specializing in international trade and in charge of the managing the Website and that offers and carries out a portion of the services provided on the Website.

Client : all SMEs, association or all professionals who create a User Profile and who can use the free or paying services of the Website; each Client is represented by one (or several) User(s), a natural person authorised by the Client to act on his behalf.

User : all natural persons that access the Website and the services offered.

Quote : means the document sent to the Client giving him/her the price and the lead time for the service requested; a Quote contains a hyperlink to the Website's general terms and conditions of sale.

1. Scope of the general conditions

These general terms and conditions of sale (hereafter known as the "General Conditions") apply to all, free or paying, services and provisions (as defined hereinafter) offered by Export entreprises SA on the www.eblftrade.com website.

The review and order of services constitutes unrestricted acceptance of these General Conditions.

Export entreprises SA reserves the right to amend the General Conditions without prior notice.

2. Services offered on the Website by Export SA

The services offered on the Website by Export SA are reserved for SMEs, associations and professionals in Lebanon and Syria.

2 .1 "Observe" Item services

The "Observe" item services enable the user to perform an initial search on the economic environment and the marketing terms of different countries. Reviewing this information is free.

2 .2 "Target" Item services

This item is reserved for targeted users, in the terms provided by the general terms of use, and allows them to get a set of information from key words and includes two types of services:

• a package of free personalized services that are available depending on the situation either on line, or by order,
• paid services of a personalized study and research

The list of available services and prices can be viewed directly from the www.eblftrade.com website.
Export entreprises SA reserves the right to limit its answers or to give quotes to users, where it considers the use of this item is abused by Users who use the free services that are not related to their needs.

Access to free services is limited to 9 services per Client per year.

2.3 "Canvass" Item services

This item is reserved for targeted users and offers users three distinct paying services:

• performance of a trial on a market,
• sale of files and translation of documents,
• organization of a canvassing mission.

The list of offered services and prices can be viewed directly from the www.eblftrade.com website.

3 . Procedures for ordering services

3 .1 Free Services

Some free services are accessible directly online. For free services, which are not accessible directly online, the user has to choose the relevant service and click on "order". Clicking of the "order" button constitutes the user's unrestricted acceptance of these General Conditions. The agreement is thereafter legally concluded with Export entreprises SA.

3.2. Paying Services

Each paying service is subject to a fix price, displayed on the website or to a quote offer, which the user receives by e-mail. All service prices are inclusive of taxes and exclusive of postage and packing where applicable.

3.2.1 Fixed Price Services

To order a fixed price paying service, the user must chose the relevant service on the website then click "order". Clicking of the "order" button constitutes the user's unrestricted acceptance of these General Conditions. The agreement is thereafter legally concluded with Export entreprises SA.

3.2.2 Quote

For personalized services offered by Export Solutions SA in the "Target" and "Canvass" items, Export Solutions SA company will send and e-mail to the User within two working days following his/her e-mail inquiry, with a price quote, the terms of provision of the service and the tentative lead time for completion of the service.
To confirm the order, the user could either use the link to the order page in the e-mail or by go through "my account" tab on the www.eblftrade.com website. Clicking of the "order" button constitutes the user's unrestricted acceptance of these General Conditions. The agreement is thereafter legally concluded with Export entreprises SA.

4. Billing and payment

After confirming the order, the User should then choose a form of payment: cheque, wire transfer or credit card.

The order is considered valid only after receipt and collection of the payment.

The corresponding invoice will be sent to the Client by postal mail.

5. Delivery of ordered completed service

Export entreprises SA will undertake the requested research immediately after payment confirmation. Lead times are provided as a reference only.

Export entreprises SA will do all that is possible to keep within the tentative lead times provided. Nevertheless, Export entreprises SA or its collaborators' will not be liable in the event that the deadline period provided is not met.

Export entreprises SA reserves the right to refuse a Client's request if it transpires that it is not possible to meet the Client's request by using either its own resources or those of its collaborators. In such a case, Export entreprises SA will inform the Client of its refusal by e-mail, soon after the order confirmation.

Additionally, if while processing a request it transpires that Export entreprises SA's resources or those of its collaborators will not be able to provide a response to the Clien'ts request, Export entreprises SA commits itself to informing the Client rapidly.

In the case where the research is discontinued by Export entreprises SA, the monies paid the client will be reimbursed, but the Client cannot claim any other compensation.

The reply is sent to the Client by e-mail, to the address on the identification form. Reception of this message is considered to be delivery of the service requested and serves as acknowledgment of receipt.

For the purchase of printed transport or customs documents, the order is sent by postal mail with costs paid by the User.

6. Exclusion of Postal Service responsibility

Orders of Export entreprises SA services by the Client are performed under the sole and entire responsibility of Export entreprises SA.
Banque Libano-Française will in no event be responsible for Export entreprises SA's negligence in performing the services offered on the Website or from the information provided by Export entreprises SA.

7. The Export entreprises SA

The majority of the services offered on the Website are developed and performed under the sole resposibility of Export entreprises SA.

Export entreprises SA's responsibility in production, memo publication on market trends, publication of the information on the international atlas ("Observe") and in the links (re-routing) offered is as follows:

Export entreprises SA commits to do all that is within its capacity to offer information that is complete, reliable and updated.

However, bearing in mind difficulties in getting access to information, the diversity of information sources, delays, lack or the poor condition of publications, advertisement, updates or translations of said information, the instability of laws, regulations and all applicable standards generally, the replies and data provided by Export entreprises SA to clients and users are for reference only and will in no way incur Export entreprises SA's liability, nor the liability of its Partners and collaborators, in the case where it transpires that the information or reply is incomplete or outdated.

In the case where the liability of Export entreprises SA is incurred by the Client for a fault proven to be that of Export entreprises SA in its provision of infomation, the Client cannot claim compensation other than reimbursement of the service.

Clients and Users are solely liable for the questions they formulate and the use they make of the information and responses they obtain.

Export entreprises SA, La Banque Libano-Française and their partners undertake to keep Client requests confidential.

Lastly, Export entreprises SA will not be liable in the case of force majeure. In addition to cases that are ordinarily considered to be force majeure by the law are all delays, non or bad performance of its commitments caused by a partial or full strike, both internal or external to either party and that impacts the activities of the said party, war, crowd uprisings, storms, floods, the obstruction of means of transport or telecommunication and generally all events outside the control of the party who is affected by unforeseeable circumstances or force majeure.

If a case force majeur or an unforeseeable circumstance hinders the performance of the Service and in particular makes the Website inaccessible and the provision of services on the website impossible for a period of 30 consecutive days, each party will be free to terminate the present agreement without notice by a simple registered letter with acknowledgment of receipt.

8 . Information right of ownership

Use of the Website does not constitute a right of ownership of the data made available. Users and Clients use the Website on their own account.

All the information, data, texts, tables, photographs and graphics provided by Export Solutions SA in the Website constitutes a data base, for which Export entreprises SA holds ownership rights in view of the current legislation.

Consequently, the Client and the User undertake to use the data, information and the replies obtained through the Website for their internal use only, not to sell it or provide it freely to third parties and not to market it directly or indirectly. Non compliance with this condition will entail the cancellation of the user account and identification, and without prejudice for all suit for damages and interest thereof that Export entreprises SA could bring against the transgressor.

9 . Access rights to computerized files

Information provided by the Client on the Website is subject to automatic processing by La Banque Libano-Française or by Export entreprises SA.

It is collected by Export entreprises SA in order to make it possible for it process and fulfill the Clients' orders. Required information is indicated by an asterisk on the website pages. This information is sent to La Banque Libano-Française, which could use it for marketing purposes.

Nevertheless, the client has the right to access and correct information concerning him/her. If he/she wishes to exercise this right, he/she has to write a letter to La Banque Libano-Française, Courrier Beyrouth Liberty Plaza, BP 11 0808 Beyrouth, Beyrouth, Lebanon. He/she can also refuse the processing of information concerning him/her if there are legitimate grounds.

10. Claims

All claim regarding services rendered by Export entreprises SA should be made in writting and sent by registered letter with acknowledgment of receipt, within one month from the time that Export Entreprise SA sent the service to the following address: Export entreprises SA, 99 boulevard Haussmann F-75008 - Paris, France.

11. Jurisdiction

This agreement is governed by French law; in the event of a dispute on the interpretation, performance and fulfillment of any provisions of this agreement and in the absence of mutual agreement between the Client and Export entreprises SA, claims will be referred to courts in Paris, which are the only courts recognized as competent in addressing disputes.
